1. Acceptance of Terms

By accessing or using any services provided by nxPixel AI Automation Agency (“nxPixel”, “we”, “us”, or “our”), including the website at nxpixel.com and the WhatsApp messaging gateway at rdu.nxpixel.com (collectively, the “Services”), you (“Client”, “User”, or “you”) agree to be bound by these Terms & Conditions (“Terms”).

If you do not agree to these Terms, you must not access or use our Services. These Terms apply to all users, clients, and visitors of our Services.

2. Description of Services

nxPixel AI Automation Agency provides the following services:

WhatsApp Business API gateway (rdu.nxpixel.com) — enabling businesses to send and receive WhatsApp messages programmatically via the Meta WhatsApp Business Platform
AI workflow automation — designing and implementing automated business processes using AI tools and integrations
API integrations and custom automation solutions for businesses
Technical consulting and support related to automation and AI systems

Our WhatsApp gateway service operates through the official Meta WhatsApp Business API. All messaging activities must comply with Meta’s WhatsApp Business Policy and applicable laws.

3. Eligibility

To use our Services, you must:

Be at least 18 years of age
Have the legal capacity to enter into a binding agreement
Be a registered business or authorized representative of a business entity where required
Not be located in a country subject to sanctions or trade restrictions that would prohibit use of our Services

4. Account Registration & API Keys

To access the WhatsApp gateway and certain other Services, you must register an account and will be issued API keys.

4.1 Account Responsibilities

You are responsible for maintaining the confidentiality of your API keys and account credentials
You must not share your API keys with unauthorized parties
You are responsible for all activity that occurs under your account
You must notify us immediately at legal@nxpixel.com if you suspect unauthorized use of your account

4.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep this information up to date. We reserve the right to suspend or terminate accounts with inaccurate or misleading information.

5. WhatsApp Messaging — Acceptable Use

Use of our WhatsApp gateway service is subject to the following strict rules in addition to Meta’s WhatsApp Business Policy:

5.1 Permitted Use

Sending transactional messages to customers who have opted in to receive communications
Customer support and service notifications
Automated responses to customer inquiries
Business updates, order confirmations, appointment reminders
Marketing messages only to users who have explicitly opted in under applicable law

5.2 Prohibited Use

You must NOT use our Services to:

Send spam, unsolicited bulk messages, or messages to users who have not opted in
Transmit illegal, harmful, threatening, abusive, defamatory, or harassing content
Impersonate any person, business, or entity
Send content that violates any applicable laws including data protection, anti-spam, and consumer protection laws
Distribute malware, phishing content, or fraudulent messages
Violate Meta’s WhatsApp Business Policy or Community Standards
Engage in any activity that could damage nxPixel’s relationship with Meta or result in account suspension

Violation of these rules may result in immediate account suspension, termination, and reporting to relevant authorities.

6. Client Obligations

As a client of our Services, you agree to:

Obtain all necessary consents from your end users before sending them WhatsApp messages
Maintain a valid WhatsApp Business Account in good standing with Meta
Provide accurate WhatsApp Business API credentials (Phone Number ID, Access Token) and keep them current
Comply with all applicable laws in your jurisdiction, including GDPR, TCPA, TRAI regulations, or other applicable data protection and anti-spam laws
Not use the Services in any way that violates Meta’s policies or third-party rights
Promptly notify us of any security incident or compromise of your credentials

7. Fees & Payment

Fees for our Services are as agreed upon in your service agreement or as displayed on nxpixel.com. Unless otherwise stated:

All fees are due in advance or as per the agreed billing cycle
Fees are non-refundable except as expressly stated in a separate service agreement
We reserve the right to modify pricing with 30 days’ written notice
Late payments may result in suspension of Services
You are responsible for any applicable taxes on fees charged

Note: Meta charges separately for WhatsApp Business API message usage. nxPixel is not responsible for charges billed directly by Meta to your WhatsApp Business Account.

8. Intellectual Property

8.1 Our IP

All content, software, code, designs, and materials forming the Services — including the WhatsApp gateway platform at rdu.nxpixel.com — are the intellectual property of nxPixel AI Automation Agency and are protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our Services.

8.2 Your Content

You retain ownership of all content and data you submit through our Services. By using our Services, you grant nxPixel a limited, non-exclusive license to process your content solely to provide the Services to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

nxPixel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
Our total liability to you for any claim arising out of or related to the Services shall not exceed the amount you paid us in the three (3) months preceding the claim
We are not liable for delays, failures, or interruptions caused by Meta’s WhatsApp Business API, third-party services, or factors beyond our reasonable control
We are not responsible for message delivery failures caused by Meta, network issues, or recipient device availability

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Message delivery through the WhatsApp platform is subject to Meta’s systems and is not guaranteed by nxPixel.

11. Indemnification

You agree to indemnify, defend, and hold harmless nxPixel AI Automation Agency, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

Your use of the Services in violation of these Terms
Your violation of any applicable law or third-party right
Your WhatsApp messaging campaigns or content
Any breach of your representations or warranties under these Terms

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at legal@nxpixel.com. Termination does not entitle you to a refund of any prepaid fees.

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately and without notice if:

You breach any provision of these Terms
Your use of the Services violates Meta’s WhatsApp Business Policy
We are required to do so by law or regulatory authority
Your account poses a security risk to our platform or other users

Upon termination, your right to use the Services immediately ceases. We may retain data as required by law or our Privacy Policy.

13. Third-Party Services & Links

Our Services integrate with third-party platforms including Meta’s WhatsApp Business API and Supabase. Your use of these third-party services is governed by their own terms and policies. nxPixel is not responsible for the availability, accuracy, or practices of any third-party service.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date on this page and, where appropriate, by emailing registered users. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Ludhiana, Punjab, India.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements entered into with you, constitute the entire agreement between you and nxPixel AI Automation Agency regarding the Services and supersede all prior agreements and understandings.
